Who these terms cover
These terms are intended for businesses using BottleCue to create, manage and share product information through hosted tasting-note pages, NFC tags and related tools. “You” means the subscribing business. “BottleCue”, “we” and “us” mean the legal service provider identified in your accepted order or service agreement.
You must be authorized to enter into an agreement for your business and to manage the locations covered by it. Your staff may use the service on your behalf, and you are responsible for their authorized use and account security.
A paid subscription begins only when you accept a written order or signup that identifies the provider, service, price, billing period and applicable version of these terms. Reading a tasting note, visiting this website or sending an enquiry does not create a paid subscription.
Your accepted order and these terms form the agreement. Specific terms in a separately accepted written order take priority where they expressly differ. Nothing in this agreement removes rights or remedies that applicable law does not allow us to exclude.
What BottleCue provides
BottleCue provides tools and hosting to help retailers present approachable tasting notes and product information. Depending on your plan, this may include bottle identification, AI-assisted research and writing, product images, editing, hosted pages, NFC programming tools and activity reporting.
Your accepted order sets out the included locations, features, content allowances, support and any setup work. Tags, printing, hardware, additional content work and other extras are included only if the order says so. An example, demo or roadmap item is not a commitment to provide a feature.
You are responsible for compatible devices, internet access, correct tag placement and checking that each tag opens the intended product page. BottleCue does not sell alcohol or process a shopper’s alcohol purchase through a tasting-note page.
Prices, billing and renewal
The price, currency, taxes, payment timing, billing period and renewal arrangements must be disclosed in your accepted order before you are charged. Setup services and physical products may be charged separately when expressly agreed.
Recurring billing applies only if you expressly agree to it. A trial converts to a paid plan only on the terms and with the authorization disclosed when you sign up. We will not charge for an upgrade or additional work without your approval.
For recurring plans, we will give at least 30 days’ written notice of a price increase. An increase takes effect no earlier than your next renewal after that notice period, and you may cancel renewal before it applies. A price change does not alter a period you have already paid for.
Keep your billing details current and tell us promptly about a suspected billing error. If payment fails, we may suspend paid features or hosted pages after giving notice and a reasonable opportunity to resolve it. Applicable legal requirements for renewal, notice, cancellation and refunds take priority.
Cancellation and refunds
You may cancel renewal at any time by using an available account cancellation option or sending a written request through the contact method in your order. The website enquiry form is also available. Cancellation does not depend on attending a call or a sales conversation.
Unless you request earlier closure or applicable law provides otherwise, access continues until the end of the paid subscription period. Cancellation stops future renewals. We will confirm the date your access ends.
Fees for a completed service period, completed setup work and delivered physical products are generally not refundable for a change of mind. Unused time within a paid period is not normally refunded. This does not limit remedies for an incorrect charge, defective goods, services not provided as agreed or any refund required by law. Separate written trial or refund offers also apply.
If we permanently discontinue your paid service without a material breach by you, we will refund prepaid subscription fees for the unused period. Any unresolved claim about service performance remains subject to applicable law.
NFC tags and hosted links
A physical NFC tag and the online service it opens are separate things. Buying a tag does not buy permanent hosting, a permanent URL or lifetime access to BottleCue.
While your subscription is active, the hosted pages and links included in your plan are available subject to maintenance, outages and these terms. When access ends or is suspended, we may deactivate those pages or display a neutral service-unavailable message. Customers tapping affected tags may no longer see the tasting notes.
Deactivation changes the online destination; it does not remotely erase or destroy the NFC chip. Whether a tag can be rewritten depends on its hardware and whether it has been permanently locked. We do not promise that every tag can be reprogrammed or moved to another service.
You keep physical tags that you have purchased and paid for. Before service ends, remove or replace tags that would mislead shoppers. If you want to transfer content or destinations, contact us before cancellation takes effect. Continued hosting, custom redirects and migration work require a separate agreement.
Tasting notes and product accuracy
Tasting descriptions are subjective. Bottle recognition, AI-generated text and third-party sources can be incomplete or wrong, including about a bottle’s identity, vintage, origin, ingredients, alcohol content or production methods.
Before publishing, review the bottle identification, text, image and tag destination. Check material facts against the current label or reliable producer information, correct errors and update the page when the product changes. Report errors you cannot correct to us.
A tasting note is general product information. It is not medical advice, a safety certification or an assurance that a product is free of allergens or suitable for a particular diet or health condition. Customers should consult the current label, producer and an appropriate professional where needed.
You remain responsible for your retail licensing, age verification and lawful sales, and for ensuring your published content complies with applicable British Columbia and Canadian alcohol-advertising rules. BottleCue does not guarantee sales increases, a particular customer response or a perfect match to someone’s taste.
Your content and permissions
You retain the rights you already hold in your business name, logo, photographs, product information and other material you provide. You give us permission to store, process, format and display that material as needed to provide the service, including through service providers working on our behalf.
You must have the rights and permissions needed for material you upload or ask us to use. A photograph being publicly available online does not, by itself, give either party permission to reuse it. Third-party bottle images, labels, trademarks and quotations remain subject to their owners’ rights.
You must not upload payment-card information, customer identity documents or other sensitive personal information into product notes or bottle-photo tools. The content licence does not permit us to use your name or logo as an endorsement without separate permission.
If content appears to infringe someone’s rights, is unlawful or creates a material safety risk, we may remove or restrict it and, where appropriate, ask for a correction or replacement. We will explain the action where legally and practically possible.
BottleCue’s platform and note content
As between you and BottleCue, we retain our rights in the BottleCue name and branding, software, page designs, templates, workflows and service materials, excluding your content and third-party materials. Your subscription gives your business a limited, non-exclusive right to use the service for the locations and purposes in your plan.
You may use approved tasting-note text supplied for your account in your own business, including copies you lawfully save before access ends. This permission does not transfer the software, templates or BottleCue branding, does not include third-party images unless separately licensed, and does not promise continued hosting after cancellation.
You may not resell access, distribute our templates as your own product or systematically copy protected service materials to build or supply a competing service without written permission. These restrictions do not claim ownership of public facts or the general idea of linking an NFC tag to product information.
AI-assisted output may resemble other output and may not qualify for exclusive intellectual-property protection. We do not promise exclusivity or transferable ownership in every generated phrase.
Responsible use and account security
Use BottleCue lawfully and within your agreed plan. Do not use it for fraud, misleading product claims, unlawful advertising, infringement, harassment or malicious content.
Do not bypass access controls or usage limits, interfere with the service, scrape private account data or run automated bulk extraction without permission. Ordinary authorized staff use is allowed within your plan.
Protect account access, remove staff access when it is no longer needed and notify us promptly of suspected unauthorized use. We may apply reasonable technical limits to protect reliability and security. Material changes to a paid allowance will follow the change-notice process below.
Availability, support and changes
We will use reasonable care and skill to provide the agreed service. The service depends on hosting, connectivity, device support and third-party providers, so uninterrupted or error-free operation is not guaranteed.
We may carry out maintenance, correct errors and update the service. We will give reasonable notice of planned interruptions or material reductions in paid functionality where practicable. Your order sets out any specific support commitment or service level; no round-the-clock support or uptime percentage is promised unless agreed.
If a change materially reduces a feature you have paid for, contact us so we can address the issue. We will not use a routine update to remove the core paid service for the remainder of a prepaid period without offering an appropriate remedy.
Privacy and activity reporting
Personal information must be handled under applicable privacy law and the privacy information provided for the relevant service. Our current website privacy notice explains the enquiry form. It is not a complete privacy notice for a future paid app or every hosted tasting-note page.
Before onboarding paid customers, we will provide the relevant service privacy information, including the purposes of collection, service providers, any activity measurement, retention and how privacy requests can be made. These terms do not provide blanket consent for advertising, unrelated data use or AI training.
Where activity reporting is included, views or tap-related activity are estimates. Repeat visits, testing, automated traffic, blocked measurement and device settings can affect results. A reported page view is not necessarily a unique shopper or a physical NFC tap.
Website privacy noticeSuspension and ending the service
We may restrict content or suspend an account for overdue payment, a material breach of these terms, a credible security threat or a legal requirement. Where the issue can reasonably be corrected, we will normally give notice and a reasonable opportunity to correct it first.
Immediate action may be necessary to prevent harm, protect other users or comply with law. We will limit the action to what is reasonably necessary and explain it where permitted. We may end an account for a serious or repeated breach or a breach that remains unresolved after notice.
When access ends, your permission to use the platform ends and hosted links may stop working as described above. Keep independent copies of material you need. Any available export method, retention period and deletion process will be explained in the service documentation or your order; a bulk export, indefinite storage or later restoration is not guaranteed.
Accrued payment obligations, continuing content permissions, confidentiality or privacy obligations, and provisions intended to survive termination continue to apply.
Responsibility and limits of liability
Each party remains responsible for its own acts and omissions. To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, including indirect lost profits or business opportunities, arising from this agreement.
To the extent permitted by law, BottleCue’s total liability arising from the service is limited to the greater of CAD $100 and the subscription and service fees you paid to BottleCue in the 12 months before the event giving rise to the claim.
These exclusions and the cap do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or liability that cannot lawfully be limited. They do not remove an express refund obligation or a statutory right or remedy. Any more favourable mandatory protection applies.
How these terms can change
We may update these terms as BottleCue develops. Each version will show its version number, last-updated date and effective date, with a short record of material changes.
For existing paid customers, we will send written notice of material changes to the account contact at least 30 days before they are intended to apply. Material changes to pricing or the commercial terms of a prepaid subscription will apply no earlier than the next renewal after that notice period, unless separately agreed.
You may decline a material change and cancel renewal before it takes effect. Where affirmative acceptance is required by law, we will obtain it. Posting an update alone does not retroactively change your agreement or settle an existing dispute.
Changes needed to meet a legal requirement or address an urgent security risk may take effect sooner to the extent necessary, with notice as soon as reasonably possible. We will retain previous versions and identify the version applicable to your agreement.
Governing law and disputes
The agreement is governed by the laws of British Columbia and the federal laws of Canada applicable there, subject to any mandatory laws that apply to you. Disputes may be brought before the competent courts or tribunals of British Columbia, unless applicable law gives you a right to another forum.
Please contact us with a concern so we can try to resolve it. Doing so is not a condition that prevents you from using a legal remedy or meeting a filing deadline. These terms do not require mandatory private arbitration or waive class-proceeding rights.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
Contact and notices
Send questions, correction requests or cancellation notices through the BottleCue website enquiry form or the contact details in your accepted order. Include your business name and the account email so we can identify the correct account.
We will send service and contractual notices to the email address recorded for your account. Keep that address up to date. Your accepted order must identify the legal operator, business address and direct contact details before a paid agreement begins.
